STANDARD TERMS & CONDITIONS
1. These Terms and Conditions, along with the Confirmation Letter, form the Agreement as if they were part of one and the same document. Unless otherwise specified, the laws of the State of Colorado shall govern this Agreement.
2. The Confirmation Letter may modify the applicability of these Terms & Conditions. To the extent of any conflict, the Confirmation Letter shall control. Payment by Check/Cashier Check/ may require 30 days to Clear.
3. The Client is responsible for paying all fees and expenses of (BOH LLC®- beyondoffice®) subsidiaries, affiliates, contractors, agents, employees, or licensors related to the engagement in accordance with the Fee Schedule. This shall include activities in response to discovery efforts by other parties.
4. Deposition charges, fees, and expenses to be paid by opposing counsel shall be paid in advance.
5. Retainer, deposit, or overpayment will be credited against future projects or the final invoice.
6. Unless otherwise agreed to in writing, the “Client” is the person to whom the letter is addressed, along with their employer if it is included as part of the Client’s address. The client warrants his or her authority to contract with (BOH LLC®beyondoffice®) a Colorado Corporation. It is understood and agreed that BOH LLC® Beyondoffice Holdings LLC provides Facilities Management and Office Administration services to the "Client" and does not provide property management services.
7. Fees and Billing will be billed monthly or as time and expenses accrue unless other arrangements are made with (BOH LLC® beyondoffice®).
8. Payment is due from the Client within 30 days of the invoice unless other arrangements are made with (BOH LLC® beyondoffice®). (BOH LLC®beyondoffice®) reserves the right to charge a late fee of 10% per month on all invoices not paid within 30 days of the invoice date. The client agrees to pay all collection costs, including any legal fees incurred in connection with the collection of a past due account.
9. In the event that any portion of an account remains unpaid 30 days after billing, (BOH LLC®beyondoffice® Inc.) may, without waiving any claim or right against the Clients or Vendors, and without liability what so ever to the clients or Vendors, suspend or terminate the performance of all services in accordance with the applicable laws of Colorado. Clients or Vendors agree not to litigate – action of filing a lawsuit before a court of law.
10. Unless expressly agreed by (BOH LLC® beyondoffice® Inc.) in writing, any cost estimates for services stated are for the Client’s budgeting purposes only and are not quote binding on (BOH LLC® beyondoffice® Inc.).
11. In an effort to resolve any conflicts that arise related to the services provided by (BOH LLC®beyondoffice® Inc.), client and (beyondoffice® Inc.) agree that all disputes between them arising out of or relating to the services provided by (beyondoffice® Inc.) shall be submitted to nonbinding mediation or litigation unless the parties mutually agree otherwise. Nonbinding mediation shall be completed within 90 days from the date the dispute arises.
12. To the fullest extent permitted by law, and notwithstanding any other provision of this agreed to, the total liability, in the aggregate, of (beyondoffice® LLC.), its officers, directors, partners, employees and sub-consultants, and any of them, to the Client, for any claims, losses, costs or damages, including attorney’s fees costs expert-witness fees and costs of any nature whatsoever or claims expenses resulting from or in any way related to the Project or Agreement from any cause or causes. It is intended that this and all liability or cause of action however alleged or arising unless otherwise prohibited by law.
13. Rates and fees are subject to change on a calendar year basis without other notice.
14. In no event shall (BOH LLC® beyondoffice® LLC.) or its subsidiaries, affiliates, contractors, agents, employees, or licensors be liable for any damages (including, without limitation, direct, indirect, consequential, incidental, special, punitive, exemplary or general damages, damages for loss of profit or data, or due to business interruption) howsoever caused, including those arising from negligence, or arising out of the use of, or inability to use, the materials. (BOH LLC® beyondoffice® Inc), or a (BOH LLC® beyondoffice® LLC.) authorized the representative, has been notified orally, or in writing, of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability, for consequential or incidental damages, these limitations may not apply to you.
15. We require a 50% Deposit on all orders over $10,000.00 and full payment on orders under $10,000.00-Some Project Full Payment will be Required. Once the project has been accepted FULL PAYMENT will be required at the completion of the project. Any products or services in addition to this total will be added if necessary. All NEW Products, Case goods, Workstations and some Seating LEAD time 3 to 5 Weeks.

16. Return Policy: All products ordered through (BOH LLC®beyondoffice®) must have an invoice number and have a P.O. number. Products only can be returned if damaged or if the product has been determined that it is the wrong product or products.
17.Designs, Drawings: TERMS AND CONDITIONS
1.) Design, drawing, and scale models will remain the property of BOH LLC®beyondoffice® unless a written agreement has been issued to the client.2.) Periodic inspections and observations of work on a project will be made, as we consider appropriate. We do not have responsibility for the failure of contractors to comply with drawing or specifications prepared by BOH LLC® beyondoffice®, nor for latent defects in there work.3.) If, after a definite scheme has been approved, the client makes a decision which, for its proper execution, involves extra services or expenses for changes in or additions to the drawings, specifications, etc., the client will pay BOH LLC® beyondoffice® for such extra services on a design-time fee basis of $150.00 per hour. 4.) Contractor to perform all work in a good and workmanlike manner, at all times maintain proper workman's compensation insurance, and comply with Colorado Contractor License regulations. Contractors will complete said job without undue delay, provided, however, the contractor shall be excused for delays resulting from circumstances beyond its control, including but not limited to strikes, lockouts, work stoppages, shortages of materials, acts of God, and delays caused by orders of governmental offices or agencies.
In the event of default in the payment of any of the said installments when due, or any note, or if the sale of the said land or building, the contractor or its assignee may declare the whole of the said sum, or so much thereof as then remains unpaid, immediately due and payable and, at the contractor's option, discontinue work on said job. Balance due upon demand. Balances unpaid after 30 days from the date of invoice are subject to a late payment charge of 1.5 percent per month, or maximum allowed by law, if different, together with expenses incidental to the collection, including reasonable attorney's fees.
It is understood and agreed that all payments hereunder shall be made at the office of the contractor or of the contractor's assignee.
In the event contractor deems it necessary to file a mechanic's lien to secure payment of any money due under this contract, or in the event, contractor deems it necessary to employ an attorney or to file suit to collect any money due under this contract, or for the breach thereof, owner, in either event, agrees to pay, in addition to any and all other sums, a reasonable sum as and for attorney's fees and any and all costs and expenses incurred and/or paid by the contractor.

We send out Contractor's payments between the 1st and 15th of every month unless it falls on a weekend and if checks are received after the 15th then checks are sent out to the owner between the 15th to the end of the calendar month unless it falls on a weekend. It would then be sent the next business day. We would be happy to set up an appointment to visit with you or meet at our office. The undersigned owner acknowledges receipt of a true copy of this contract, acknowledges that he has read the contract, knows the contents thereof, and understands that no other agreement, verbal or otherwise, is binding upon the parties hereto and that this instrument contains the entire contract between the parties. The words used in the singular to designate the parties herein shall be construed to mean and include any person, persons, firm, partnership, or corporation named as a party hereto.
Applicable Law
This contract shall be governed by the laws of the County of Denver in the State of Colorado and any applicable Federal law.
1a. Parties. This agreement (“Agreement”) is between Beyondoffice Holdings LLC d/b/a BOH LLC (“BOH LLC” or “Seller”), and the customer and/or owner, lessor, lessee, and/or tenant of the real property (“Premises”) identified herein (“Customer”), and it services and incorporates any price quotation offered to Customer by BOH LLC. Should the identified Customer not be the owner of the property, the Customer warrants and represents that it is an authorized agent of the property owner, lessor, lessee, and/or tenant and that it may enter into this Agreement on the latter’s behalf.
The agreement expressly includes these Terms and Conditions, which the Customer acknowledges and agrees are material to and an integral part of this Agreement. By signing this Agreement, Customer acknowledges that it has received all of the Agreement, has read and understood this Agreement and the Terms and Conditions, and confirms its unequivocal agreement therewith. The customer agrees that these Terms and
Conditions govern the relationship between Customer and BOH LLC concerning any goods or services that fall within the subject matter of this Agreement, and no terms not specifically agreed upon by BOH LLC in writing will be binding on BOH LLC. Customer understands and agrees that the provisions of the Agreement and of these Terms and Conditions inure to the benefit of BOH LLC’s employees, agents, officers, directors, owners, parents, subsidiaries, and affiliates.
2a. Subcontractors. BOH LLC may subcontract the services to be performed under this Agreement. Customer acknowledges and agrees that all provisions of this Agreement inure to the benefit of and are applicable to any subcontractors engaged by BOH LLC to provide any service to Customer (“Subcontractor”) and that they bind Customer to each such Subcontractor(s) with the same force and effect as they bind Customer
to BOH LLC. (Accordingly, when used in this Agreement, the term “BOH LLC” includes any such Subcontractors, BOH LLC employees, and agents.) Customer acknowledges that Subcontractors are independent companies that have no affiliation with BOH LLC. The customer irrevocably appoints BOH LLC as its agent to communicate with the Subcontractor(s) concerning all matters related to this Agreement.
3a. Service Response Time/Delivery Time. The customer is responsible for scheduling all appointments. BOH LLC will make reasonable efforts to schedule appointments at the Customer’s convenience. If BOH LLC is asked to provide an emergency response and agrees to do so, BOH LLC will make reasonable efforts to respond/and or take corrective action in the most expeditious manner possible. BOH LLC will make reasonable efforts to dispatch for critical system failures within 2-4 hours and to dispatch for non-critical system trouble in 24-48 hours. The customer understands, however, that BOH LLC’s ability to respond depends upon a number of
factors, including the number of requests for similar responses and the availability of personnel, and the Customer agrees that BOH LLC has no obligation to respond within any particular timeframe for any type of service request or to deliver any good within any stated time and that BOH LLC has no liability for failing to respond and/or to provide the good within the requested, desired, and/or stated time.
4a. Payment Terms, Late Charges, Credit, and Progress Billing. Payment terms may be changed at any time with or without prior notice and those are in effect at the time of delivery or service call. Any invoice not paid when due shall be subject to a late charge of one and one-half percent (1-1/2%) per month or a portion thereof of, if lower, the highest rate allowable under applicable law. Invoices shall be due within ten
(10) days of invoice date unless otherwise stated. If, in BOH LLC’s opinion, Customer’s credit becomes unsatisfactory, BOH LLC may, in addition to all other rights and remedies under the Agreement and applicable law, suspend the delivery of goods or services pending receipt of cash or satisfactory security from Customer. Should Customer default in any payments due to BOH LLC, Customer agrees to pay all reasonable costs of
collection incurred by BOH LLC, including reasonable attorneys’ fees. Title to all equipment or other goods sold by BOH LLC shall remain in BOH LLC’s name until the Customer has paid BOH LLC in full. BOH LLC shall retain a
security interest in such equipment or other goods until such time. Based on the expected duration of any work, BOH LLC, in its sole and absolute discretion, may elect to bill Customer in monthly progress billings. In such cases, the Customer agrees to make prompt monthly progress payments as per the terms of this Agreement, based on the monthly billing schedule provided to the Customer by BOH LLC.
NOTICE TO CUSTOMER. BY SIGNING THIS DOCUMENT, CUSTOMER EXPLICITLY ACKNOWLEDGES AND ACCEPTS PARAGRAPHS OF ALL OF THIS AGREEMENT, WHICH DISCLAIM WARRANTIES AND REPRESENTATIONS, ACKNOWLEDGES BOH LLC IS NOT AN INSURER AND REQUIRES THE CUSTOMER TO OBTAIN INSURANCE, LIMITS BOH LLC’S
LIABILITY FOR AND/OR RELEASE BOH LLC FROM ANY LIABILITY RELATED IN ANY WAY TO THE AGREEMENT AND REQUIRE THE CUSTOMER TO INDEMNIFY BOH LLC FOR ANY LOSSES RELATED IN ANY WAY TO THE AGREEMENT. READ ALL AND THE ENTIRE AGREEMENT BEFORE SIGNING.

This contract shall be governed by the laws of the County of Denver in the State of Colorado and any applicable Federal law.

Plumbing means the actual installation, repair, maintenance, alteration, or extension of a plumbing system by any person. Plumbing includes all piping, fixtures, appurtenances, and appliances for a supply of water for all purposes, including without limitation lawn sprinkler systems, from the source of a private water supply on the premises or from the main in the street, alley, or at the curb to, within and about any building or buildings where a person or persons live, work or assemble. Plumbing includes all piping, from discharge of pumping units to and including pressure tanks in water supply systems. Plumbing includes all piping, fixtures, appurtenances, and appliances for a building drain and sanitary drainage and related ventilation system of any building or buildings where a person or persons live, work, or assemble from the point of connection of such building drain to the building sewer or private sewage disposal system five (5) feet beyond the foundation walls.
