“Owner shall deposit all security funds in a separate escrow account at a Colorado-chartered financial institution. Within sixty (60) days after Tenant surrenders possession, Landlord shall return the security deposit balance, if any, or provide Tenant with a written, itemized list of lawful deductions pursuant to C.R.S. § 38-12-103.”
• § 38-12-105(1): Late fees not to exceed 4 percent of monthly rent or $50, whichever is less, per late rent payment.
• § 38-12-105(2): NSF (returned check) fees not to exceed $50 per occurrence.

“If any rent payment is not received by Landlord by the fifth day after the due date, Tenant shall pay a late fee not to exceed the lesser of 4 percent of the monthly rent or $50, as permitted by C.R.S. § 38-12-105(1). Should any payment be returned for insufficient funds, Tenant shall pay a returned-check fee not to exceed $50, as permitted by C.R.S. § 38-12-105(2).”
• § 38-12-206(1): Landlord may enter with 24 hours’ written notice for inspections, repairs, or to show property.
• § 38-12-206(2): No notice required in case of emergency, if tenant consents at time of entry, or if premises are abandoned.
• § 38-12-206(3): During last 30 days of tenancy, Landlord may show premises daily between 10 AM–6 PM, with 24 hours’ notice.
Suggested Lease Language:
“Landlord may enter the Premises upon providing Tenant with twenty-four (24) hours’ written notice, except in the event of emergency, Tenant’s consent upon entry, or abandonment. During the final thirty (30) days of the lease term, Landlord may show the Premises to prospective tenants or purchasers daily between 10 AM and 6 PM with twenty-four (24) hours’ written notice, in compliance with C.R.S. § 38-12-206.”
• § 38-12-212(1): Tenant may install additional locks at their expense, provided Tenant furnishes Landlord a key or means of entry.
• § 38-12-212(2): Landlord may change locks only for good cause; if Tenant returns after locks changed, Landlord must provide means of entry.

“Tenant may install additional locks or security devices at Tenant’s expense, provided Tenant furnishes Landlord with a copy of any key or other means of entry. Landlord may change or rekey the locks only upon good cause and must provide Tenant with a key or access device if Tenant returns to find locks changed. See C.R.S. § 38-12-212.”
• § 38-12-501(1)(a): Landlord must comply with building codes affecting health and safety, maintain electrical, plumbing, heating, and appliances in working order.
• § 38-12-502: Tenant may repair and deduct for landlord’s failure to remedy defects affecting health or safety; must provide written notice and allow at least three (3) business days to cure.
• § 38-12-503(1): Tenant may withhold rent if Landlord fails to remedy defects after proper notice; written notice required.
Suggested Lease Language:
“Landlord shall maintain the Premises in compliance with all applicable building codes and provide working electrical, plumbing, heating, and appliances as required by C.R.S. § 38-12-501. Tenant may provide written notice of any condition affecting health or safety; if Landlord fails to remedy such condition within three (3) business days (or as otherwise required by law), Tenant may exercise rights under C.R.S. §§ 38-12-502 and 38-12-503, including repair and deduct or rent withholding.”
• § 38-12-502.5(2): A tenant who is a victim of domestic abuse, sexual assault, or stalking may terminate the lease with 30 days’ written notice and documentation without penalty.

“If Tenant is a victim of domestic abuse, sexual assault, or stalking and provides Landlord with thirty (30) days’ written notice along with required documentation (police report, protective order, or affidavit), Tenant may terminate the lease without penalty in accordance with C.R.S. § 38-12-502.5.”

2.2 Payment by check or cashier’s check requires up to thirty (30) days to clear.
3.1 Client shall pay all fees and expenses described in the Fee Schedule and incurred by Provider, its subsidiaries, affiliates, contractors, agents, employees, or licensors in connection with this engagement, including—but not limited to—costs of third‑party discovery, expert witnesses, and document reproduction.
3.2 Any deposit, retainer, or client overpayment will be credited against future services or the final invoice.
3.3 Providers’ invoices are due within thirty (30) days of invoice date, unless otherwise agreed in writing. Overdue amounts incur a late fee of ten percent (10%) per month, and Client shall reimburse Provider for all collection costs, including reasonable attorneys’ fees.

Reservation of Rights. All rights, remedies and defenses available to BOH Facilities LLC® under contract, statute or at law are expressly reserved. No performance, acceptance of payment, or provision of services by BOH Facilities LLC® shall be deemed a waiver of any rights or remedies, whether under these Terms & Conditions, the Uniform Commercial Code (as adopted in Colorado), or any other applicable law.
“No performance rendered, payment made, or acceptance of performance by BOH Facilities LLC® shall constitute a waiver of any claim or right under these Terms & Conditions or under UCC 1-308 (C.R.S. § 4-1-308), and BOH Facilities LLC® expressly reserves all such rights and remedies.”
4.1 Unless otherwise arranged in writing, billing occurs monthly as services and expenses accrue.
4.2 If any portion of an account remains unpaid thirty (30) days after billing, Provider may, without waiving any rights, suspend or terminate all services immediately.
5.1 All cost estimates are for budgeting purposes only and are not binding price quotes unless expressly stated.
5.2 Any requests for additional or changed services will be documented in a written change order and billed at Provider’s prevailing rates.
6.1 Any dispute arising under this Agreement will first be submitted to non‑binding mediation, to be completed within ninety (90) days of the dispute’s notice.
6.2 If mediation fails, either party may pursue litigation in the appropriate Colorado court.
7.1 To the fullest extent permitted by law, Provider’s total aggregate liability under this Agreement shall not exceed the total fees paid by Client in the prior twelve (12) months.
7.2 In no event shall Provider or its agents, employees, or subcontractors be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, including lost profits or data, even if advised of the possibility of such damages.
7.3 Client agrees to indemnify and hold harmless Provider, its officers, directors, employees, and agents from any claims, liabilities, losses, or expenses (including attorneys’ fees) arising from Client’s breach of this Agreement or from Client’s acts or omissions.
8.1 Provider may engage subcontractors or third‑party vendors to perform services. All such parties are bound by these Terms & Conditions, and Provider remains responsible for their performance.
8.2 Client hereby appoints Provider as its agent to coordinate and communicate with subcontractors.
9.1 Client schedules all service appointments. Provider will use commercially reasonable efforts to meet requested dates and times, including emergency dispatch within 2–4 hours for critical failures and 24–48 hours for non‑critical issues.
9.2 Provider has no liability for delays caused by factors beyond its control, including but not limited to labor disputes, supply shortages, or force majeure events.
10.1 A fifty percent (50%) deposit is required for orders exceeding $10,000; full payment is due upon acceptance for smaller orders.
10.2 Lead times for new products (case goods, workstations, seating) range from three (3) to five (5) weeks.
10.3 Return Policy: Items may be returned only if damaged or incorrectly shipped, and only with a valid invoice and purchase order number.
11.1 All designs, drawings, and models remain Provider’s property unless a written agreement states otherwise.
11.2 If Client requests changes after final approval, Client shall pay Provider at $150 per hour for additional design services.
11.3 Space‑planning services by Provider are required prior to order processing.
12.1 Provider and its subcontractors will maintain appropriate insurance, including workers’ compensation, general liability, and commercial automobile insurance, as required by Colorado law.
12.2 Licensed professionals (electricians, plumbers, HVAC technicians) will perform all regulated trade work in compliance with state and local licensing requirements.
13.1 All notices under this Agreement must be in writing and delivered to the parties’ addresses in the Confirmation Letter.
13.2 No amendment to this Agreement is effective unless in writing and signed by both parties.
14.1 If any provision is found unenforceable, the remainder shall remain in full force and effect.
14.2 No failure or delay in exercising any right under this Agreement constitutes a waiver of that right.
Applicable Law:
This Agreement is governed by the laws of Denver County and the State of Colorado, and by federal law where applicable.
